Terms of Service

Please read these Terms carefully before using AMANA. By creating an account or using the Platform in any way, you confirm that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, do not access or use the Platform.

1. Definitions

For the purposes of these Terms of Service, the following definitions apply:

Platform

The AMANA professional networking platform, including the website accessible at amana.network, any associated mobile applications, APIs, features, and services operated by Denhill International LLC.

User

Any natural person or legal entity that creates an account, accesses, or uses the Platform in any manner.

Company Page

A dedicated page on the Platform representing a business entity, created and managed by a User who claims authority to represent that entity.

Professional Profile

A personal account page on the Platform representing an individual User's professional identity, experience, and activities.

User Content

Any text, images, documents, data, links, posts, messages, trade licenses, or other materials submitted, uploaded, published, or transmitted by a User through the Platform.

Subscription

A paid plan granting access to enhanced Platform features for a defined billing period (monthly or annual).

AMANA Verified

"AMANA Verified" means that AMANA has manually reviewed the Trade License submitted by a company and confirmed, at the time of review, that: (i) the Trade License appeared active; (ii) the expiry date was reviewed; and (iii) the company legal name appeared to match the submitted Trade License. AMANA Verified is a limited document review only. It is not a certification, endorsement, recommendation, legal opinion, financial assessment, quality assessment, due diligence report, or guarantee of the company, its services, its conduct, its financial standing, its compliance, its contractual performance, or its future behaviour.

Trade License

An official commercial registration or operating license issued by a competent government authority, authorising a business entity to conduct commercial activities in the relevant jurisdiction.

Paid Services

All features, tools, capabilities, and services accessible exclusively through a paid Subscription plan.

Business Relationship

Any interaction, negotiation, agreement, transaction, engagement, partnership, employment, investment, or commercial arrangement entered into between Users, whether or not initiated through the Platform.

Third-Party Services

External products, platforms, tools, and services integrated with or linked from the Platform, including but not limited to Stripe (payment processing), Supabase (database infrastructure), Vercel (hosting), Resend (email delivery), and analytics providers.

Applicable Law

All laws, regulations, directives, orders, and rules that apply to a User's use of the Platform, including but not limited to the laws of the United Arab Emirates and the User's jurisdiction of residence or operation.

2. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Denhill International LLC, registered at IFZA Business Park, Dubai Silicon Oasis, Dubai, United Arab Emirates ("AMANA", "we", "us", "our"), which operates the AMANA professional networking platform.

By registering an account, clicking "I agree", accessing, or using any part of the Platform — including browsing public pages — you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines published on the Platform, all of which are incorporated herein by reference.

If you are using the Platform on behalf of an organisation or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include both you as an individual and that entity.

If you do not agree to these Terms in their entirety, you must immediately cease using the Platform and delete your account.

3. Eligibility

Age requirement

You must be at least 18 years of age to create an account or use the Platform. By registering, you represent and warrant that you are 18 years of age or older. Accounts of users found to be under 18 will be terminated immediately.

Professional use only

AMANA is designed exclusively for professional and business networking purposes. The Platform is intended for founders, executives, investors, entrepreneurs, business owners, and professionals operating in or targeting the Middle East, North Africa, and Gulf (MENA) region. Use of the Platform for personal, consumer, or non-commercial purposes is not permitted.

Capacity

You represent and warrant that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction of residence and the laws of the United Arab Emirates.

Geographic availability

The Platform is accessible internationally. However, certain features may be unavailable or restricted in jurisdictions where applicable law prohibits their use. You are solely responsible for ensuring that your use of the Platform complies with all laws applicable in your jurisdiction. AMANA does not represent that the Platform is appropriate or available in all locations.

Sanctions compliance

You represent and warrant that you are not located in, organised under the laws of, or a national of any jurisdiction subject to comprehensive sanctions administered by the United Nations, the United Arab Emirates, the United States Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom. You further represent that you are not designated on any sanctions list maintained by those authorities.

4. Platform Role — Technology Platform Only

AMANA is a technology platform only. AMANA provides tools and features that allow professionals and businesses to create profiles, connect, communicate, and discover opportunities. AMANAdoes not participate in, supervise, direct, control, or guarantee the outcomes of any interactions, transactions, or relationships between Users.

AMANA does not act as, and shall not be deemed to act as, any of the following in connection with any User interaction, transaction, or relationship:

  • Agent or intermediary of any User
  • Broker (commercial, financial, real estate, or otherwise)
  • Employer or co-employer
  • Recruiter or employment agency
  • Consultant or professional advisor
  • Seller or supplier of goods or services
  • Buyer or purchaser of goods or services
  • Financial advisor or investment advisor
  • Legal advisor
  • Contracting party or counterparty to any user agreement

AMANA's role is limited to providing the technical infrastructure that enables Users to interact with one another. Any characterisation of AMANA as a party to, or responsible party for, any user interaction or transaction is expressly excluded to the fullest extent permitted by applicable law.

5. No Party to Transactions

AMANA is not a party to any agreement, negotiation, transaction, engagement, payment, service delivery, employment relationship, consulting relationship, investment opportunity, partnership, or commercial relationship entered into between Users, whether or not initiated, facilitated, or discovered through the Platform.

All such Business Relationships are entered into solely between the relevant Users, at their own risk and on their own terms. AMANA has no obligation to mediate, resolve, or intervene in any dispute arising from a Business Relationship between Users.

AMANA does not verify, validate, or take any responsibility for:

  • The terms of any agreement concluded between Users
  • The delivery, quality, or completion of any service or work
  • The receipt or transmission of any payment between Users
  • The performance of any contractual obligation between Users
  • The outcome of any investment, partnership, or business venture between Users
  • Any employment or staffing arrangement entered into between Users

Users who enter into Business Relationships do so entirely at their own risk. AMANA strongly recommends that Users conduct their own independent due diligence before entering into any Business Relationship with another User.

6. No Guarantee of Users

AMANA makes no representation, warranty, or guarantee of any kind regarding any User of the Platform, including but not limited to:

  • The identity or true identity of any User
  • The legality of any User's business activities or practices
  • The honesty, integrity, or good faith of any User
  • The reliability or trustworthiness of any User
  • The financial solvency or creditworthiness of any User
  • The professional competence or qualifications of any User
  • The regulatory compliance of any User or their business
  • The quality, timeliness, or fitness for purpose of any services offered by a User
  • The availability or continued participation of any User on the Platform
  • The performance of any User in fulfilling contractual obligations
  • The payment behaviour of any User
  • The future conduct or behaviour of any User

The existence of a profile on the Platform, the AMANA Verified badge, or any other designation on the Platform does not constitute a recommendation, endorsement, approval, or certification of any User by AMANA.

7. Account Registration and Security

Accurate information

You agree to provide accurate, current, and complete information when creating your account and throughout your use of the Platform. You agree to keep your profile information updated and accurate at all times. Providing false, misleading, incomplete, or fraudulent information — including impersonating another person or entity — is strictly prohibited and may result in immediate account termination and potential legal action.

One account per person

Each natural person may maintain only one personal Professional Profile. Creating multiple accounts to circumvent suspensions, bans, limitations, or Platform restrictions is prohibited. Legal entities may maintain one Company Page per distinct business entity.

No impersonation

You may not create an account in the name of another person, use another person's identity or professional credentials, or create a profile that misrepresents your affiliation with any person or organisation.

Account security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify AMANA immediately at contact@amana-uae.com of any actual or suspected unauthorised access to or use of your account. AMANA shall not be liable for any loss, damage, or harm arising from your failure to maintain the security of your account credentials.

No account sharing

Your account is personal and non-transferable. You may not sell, transfer, sublicense, or share access to your account with any third party.

8. Company Pages

Users who create or manage a Company Page on the Platform represent and warrant that they have the legal authority to act on behalf of the relevant business entity. Company Page owners and administrators are solely and exclusively responsible for:

  • The accuracy and completeness of all information displayed on the Company Page
  • The legality and validity of the business entity's activities and operations
  • The validity and authenticity of any Trade License submitted to AMANA
  • Updating the Trade License before or upon its expiry date
  • The accuracy of all services, products, and capabilities described on the Company Page
  • All claims, representations, and statements made on the Company Page or in posts
  • All content published via the Company Page, including posts, announcements, and offers
  • Full compliance with all UAE laws applicable to the business, including trade licensing laws, commercial regulations, advertising standards, and data protection requirements

AMANA does not verify the ongoing accuracy, legality, or currency of Company Page information beyond the limited AMANA Verified document review described in Section 12. Users who rely on Company Page information do so at their own risk and must conduct their own due diligence.

9. Services Provided

AMANA currently provides, and may in the future offer, the following features and services:

  • Creation and management of Professional Profiles for individuals
  • Creation and management of Company Pages for business entities
  • Professional connection requests and networking features
  • Direct messaging between connected members
  • Publication of professional posts, updates, articles, and business opportunities
  • A discovery and search engine to find relevant professionals and companies
  • AMANA Verified Trade License review (as defined in Section 12)
  • Paid Subscription plans (Free, Pro, Business) with differentiated feature access
  • Founder and early-adopter promotional offers with enhanced access
  • Spotlight advertising placements for companies seeking increased visibility
  • Analytics and profile performance insights (for paid tiers)
  • AI-assisted features and recommendations (as further described in Section 21)

AMANA reserves the right to modify, add, suspend, or discontinue any feature, service, or aspect of the Platform at any time, with or without prior notice, subject to Section 27 regarding material changes to these Terms.

10. Acceptable Use

Permitted use

You may use the Platform solely for lawful, professional networking, and business discovery purposes in accordance with these Terms and all applicable laws. Use of the Platform must remain professional in nature at all times.

Prohibited conduct — Fraud and Identity

  • Creating a false, misleading, or fraudulent profile or Company Page
  • Submitting a fake, altered, expired, revoked, or fabricated Trade License
  • Presenting an expired or previously revoked Trade License as currently valid
  • Impersonating any person, company, brand, government authority, or other entity
  • Using another person's identity, name, professional credentials, or photographs
  • Misrepresenting your qualifications, experience, role, or affiliation

Prohibited conduct — Spam and Platform Abuse

  • Sending unsolicited commercial messages (spam) to other Users
  • Using automated bots, scripts, scrapers, or crawlers to interact with the Platform
  • Extracting, harvesting, scraping, or collecting User data without express authorisation
  • Using the Platform to conduct phishing, social engineering, or credential theft attacks
  • Creating fake reviews, ratings, or testimonials about any User or company
  • Manipulating search rankings, discovery algorithms, or engagement metrics

Prohibited conduct — Technical

  • Attempting to reverse engineer, decompile, or disassemble any part of the Platform
  • Circumventing, disabling, or interfering with security features or access controls
  • Uploading or distributing malware, viruses, ransomware, or malicious code
  • Conducting denial-of-service attacks or any activity that disrupts the Platform
  • Attempting to gain unauthorised access to other accounts or AMANA's systems

Prohibited conduct — Harmful Content

  • Harassing, threatening, intimidating, stalking, or abusing any User
  • Publishing discriminatory content based on race, ethnicity, religion, gender, nationality, disability, or any other protected characteristic
  • Publishing hate speech, incitement to violence, or content promoting terrorism or extremism
  • Publishing defamatory, libellous, or maliciously false statements about any person or entity
  • Publishing sexually explicit, obscene, or pornographic content
  • Publishing content that exploits, endangers, or sexualises minors
  • Publishing private or confidential information about another person without their consent

Prohibited conduct — Financial Crime and Illegal Activity

  • Money laundering, terrorist financing, or any financial crime
  • Sanctions evasion or conducting business with sanctioned persons or entities
  • Corruption, bribery, or kickback arrangements
  • Operating unlicensed financial services, investment schemes, or brokerage activities
  • Promoting or soliciting participation in Ponzi schemes, fraudulent multi-level marketing, or pyramid schemes
  • Promoting illegal cryptocurrency schemes, unregistered token offerings, or fraudulent investment products
  • Conducting or facilitating illegal recruitment, forced labour, or human trafficking
  • Advertising, promoting, or facilitating the sale of illegal goods or services
  • Any activity that constitutes a criminal offence under UAE law or applicable law

Prohibited conduct — Data and Privacy

  • Collecting, processing, or sharing another User's personal data without their consent and a valid legal basis
  • Publishing private information, personal data, or confidential communications of another User without consent
  • Using Platform data to build competing databases, enrich external CRM systems at scale, or develop competing products
  • Using Platform data or User-generated content to train artificial intelligence or machine learning models without AMANA's prior written permission

AMANA reserves the right to determine, in its sole and reasonable discretion, whether any activity or content constitutes a violation of this Section. AMANA may take any action it deems appropriate in response to a violation, including content removal, account restriction, suspension, or termination.

11. User Content

Ownership

You retain ownership of all User Content you submit to the Platform. AMANA does not claim ownership over your User Content.

License to AMANA

By submitting User Content to the Platform, you grant AMANA a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, adapt, translate, and publish that User Content solely for the purposes of: (i) operating and providing the Platform; (ii) improving and developing Platform features; (iii) promoting the Platform to prospective users; and (iv) complying with applicable legal obligations. This licence continues for as long as your User Content remains on the Platform, and ceases upon permanent deletion, except as provided below.

Evidence retention

Notwithstanding deletion, AMANA may retain a copy of User Content where there is a reasonable basis to believe it constitutes evidence of a violation of these Terms, applicable law, or where retention is required by a competent authority or applicable law.

No pre-validation

AMANA does not systematically pre-screen, pre-validate, or review all User Content before it is published on the Platform. AMANA operates as a hosting platform and is not the author or publisher of User Content. You remain solely responsible for all User Content you submit.

Content removal

AMANA reserves the right, but has no obligation, to review, monitor, remove, or restrict access to any User Content at any time, without prior notice, if AMANA reasonably determines that such content violates these Terms, applicable law, third-party rights, or AMANA's policies.

Your representations

By submitting User Content, you represent and warrant that: (i) you own or have all necessary rights and permissions to submit that content; (ii) your User Content does not infringe any third-party intellectual property, privacy, personality, or other rights; (iii) your User Content is accurate and not misleading; and (iv) your User Content complies with all applicable laws.

12. AMANA Verified

Definition

"AMANA Verified" means that AMANA has manually reviewed the Trade License submitted by a company and confirmed, at the time of review, that: (i) the Trade License appeared active; (ii) the expiry date was reviewed; and (iii) the company legal name appeared to match the submitted Trade License. AMANA Verified is a limited document review only. It is not a certification, endorsement, recommendation, legal opinion, financial assessment, quality assessment, due diligence report, or guarantee of the company, its services, its conduct, its financial standing, its compliance, its contractual performance, or its future behaviour.

What AMANA Verified covers

AMANA Verified covers one thing only: a manual review of the Trade License document submitted by a Company Page owner at the time of submission. Nothing more.

What AMANA Verified does NOT cover

The AMANA Verified badge does not mean that AMANA has verified, checked, or confirmed any of the following:

  • Passports, national identity documents, or any personal identification of any individual
  • Kbis extracts or equivalent foreign commercial registrations
  • Academic degrees, diplomas, or educational qualifications
  • Professional certifications, licences, or regulated professional qualifications
  • Professional insurance, liability coverage, or indemnity policies
  • The financial solvency, creditworthiness, or financial health of the company
  • The professional reputation or industry standing of the company
  • The quality, fitness for purpose, or delivery of any services offered by the company
  • Any contracts, agreements, or commercial promises made by the company
  • Any payments, transactions, or financial exchanges between Users
  • Any commercial promises, guarantees, or representations made by the company

No guarantee of ongoing validity

AMANA does not monitor Trade Licenses after the date of verification. AMANA does not guarantee, represent, or warrant that a Trade License remains valid, active, or current after the date on which the AMANA Verified review was conducted. The Trade License may have since expired, been suspended, or been revoked without AMANA's knowledge.

No substitute for due diligence

The AMANA Verified badge must not be relied upon as a substitute for independent due diligence. Users must not make business, financial, legal, or contractual decisions based solely or primarily on the presence of the AMANA Verified badge. All Users are solely responsible for conducting their own independent verification and due diligence before entering into any Business Relationship.

13. User Due Diligence

Users are solely and exclusively responsible for conducting their own independent due diligence before contacting, hiring, contracting with, paying, investing in, or entering into any Business Relationship with another User or company discovered through the Platform.

This responsibility includes, but is not limited to:

  • Independently verifying the identity and legal status of the counterparty
  • Confirming the validity and currency of any Trade License or professional registration
  • Assessing the financial standing, solvency, and creditworthiness of the counterparty
  • Verifying professional qualifications, experience, and references
  • Conducting appropriate legal and financial checks before entering any agreement
  • Obtaining independent legal advice before signing contracts or making significant commitments
  • Assessing any regulatory compliance requirements applicable to the proposed relationship

The AMANA Verified badge, profile completeness score, recommendations, analytics, or any other feature or indicator on the Platform does not replace, reduce, or substitute for independent due diligence. AMANA expressly disclaims any liability arising from a User's failure to conduct adequate independent due diligence.

14. Subscriptions and Payments

Available plans

AMANA offers subscription plans including, but not limited to: a Free plan with standard features; a Pro plan for individual professionals; a Business plan for companies and teams; and promotional Founder plans for early adopters with enhanced access at preferential rates. Features associated with each plan are described on the Platform's pricing page, which may be updated from time to time.

Billing

Paid plans are billed on a monthly or annual basis, as selected by the User at the time of subscription. Annual plans may be offered at a discounted rate compared to monthly billing.

Payment processing

All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you authorise AMANA to charge the applicable subscription fees to your designated payment method via Stripe. AMANA does not store full credit card or payment card details on its own servers.

Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current subscription price, unless you cancel before the renewal date. By subscribing, you authorise AMANA to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time via your account settings or by contacting contact@amana-uae.com. Cancellation takes effect at the end of the then-current billing period. You will retain access to paid features until the end of the period for which you have paid. No partial refunds or credits are issued for unused portions of a billing period, except as required by applicable mandatory consumer law.

Refund policy

Payments are generally non-refundable. AMANA may, at its sole discretion, issue a refund within 14 days of initial subscription in exceptional cases involving a material technical failure directly attributable to AMANA. Consumers in the European Union may exercise their statutory right of withdrawal within 14 days of purchase, provided the service has not been fully performed with their express prior consent and acknowledgment that the right of withdrawal is lost upon full performance.

Price changes

AMANA reserves the right to modify subscription prices at any time. We will provide at least 30 days' written notice (by email and/or platform notice) of any price increase before it applies to your account. Continued use of the subscription after the effective date of a price change constitutes your acceptance of the new price.

Taxes

Subscription prices displayed on the Platform may be exclusive of applicable taxes, including Value Added Tax (VAT), goods and services tax (GST), or other indirect taxes. You are responsible for paying all applicable taxes in your jurisdiction in addition to the listed subscription price.

Billing disputes

If you believe you have been charged in error, you must contact AMANA at contact@amana-uae.com within 30 days of the disputed charge. Initiating a chargeback or payment reversal with your payment provider without first contacting AMANA may result in immediate account suspension and termination of your Subscription.

15. Suspension and Termination

Termination by you

You may terminate your account at any time by navigating to Settings → Account → Delete Account, or by contacting contact@amana-uae.com. Upon account deletion, your profile and associated User Content will be removed from the Platform in accordance with our data retention policy, as described in our Privacy Policy. Deletion does not entitle you to a refund of any prepaid subscription fees.

Suspension or termination by AMANA

AMANA reserves the right to suspend, restrict, or permanently terminate your account, with or without prior notice, for any of the following reasons:
  • Violation of any provision of these Terms
  • Suspected fraudulent, deceptive, or illegal activity
  • Submission of a false, altered, or fraudulent Trade License or identity document
  • Non-payment of subscription fees
  • Extended inactivity (free accounts inactive for more than 24 consecutive months)
  • To protect the Platform, other Users, or third parties from harm
  • To comply with a legal obligation, court order, or competent authority request
  • To protect AMANA's legal rights, reputation, or legitimate business interests
  • Conduct that AMANA reasonably determines is harmful to the Platform community

Effect of termination

Upon termination of your account for any reason: (i) your right to access and use the Platform ceases immediately; (ii) your profile and User Content may be removed from public view; (iii) no refunds will be issued for any prepaid fees unless required by applicable law. Provisions of these Terms that by their nature should survive termination — including, without limitation, Definitions, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law — shall remain in full force and effect after termination.

16. Investigations

AMANA reserves the right to investigate any suspected violation of these Terms, applicable law, or conduct that AMANA reasonably believes poses a risk to the Platform, its Users, or third parties.

In connection with any such investigation, AMANA may:

  • Request that a User provide additional documents, information, or explanations
  • Temporarily restrict, suspend, or limit a User's access to the Platform pending the outcome of the investigation
  • Remove or restrict access to specific User Content during or following the investigation
  • Preserve and retain User Content, account information, and activity logs as evidence
  • Disclose information to competent government authorities, law enforcement agencies, or regulatory bodies where required or permitted by applicable law
  • Cooperate with official investigations conducted by competent authorities

AMANA is not obligated to inform a User that an investigation is underway where doing so would compromise the integrity of the investigation, the safety of other Users, or compliance with legal obligations.

17. Limitation of Liability

No liability for user conduct

To the maximum extent permitted by applicable law, AMANA shall not be liable for any loss, damage, harm, or expense arising from: the conduct, actions, omissions, statements, services, goods, or activities of any User; User Content published on the Platform; fraud or misrepresentation by any User; disputes between Users; or any Business Relationship entered into between Users.

No liability for consequential damages

To the maximum extent permitted by applicable law, AMANA, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any of the following, whether arising in contract, tort, negligence, statute, equity, or otherwise:
  • Loss of profits, revenue, or anticipated income
  • Loss of business opportunities or contracts
  • Loss of data, leads, analytics, or profile information
  • Reputational harm or damage to professional standing
  • Business interruption or loss of goodwill
  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Losses arising from reliance on AMANA Verified or any verification badge
  • Losses arising from reliance on Platform recommendations, rankings, or analytics
  • Unpaid invoices, failed transactions, or payment disputes between Users
  • Losses arising from failed or unsuccessful Business Relationships

Liability cap

To the maximum extent permitted by applicable law, AMANA's total cumulative liability to you for all claims arising under or in connection with these Terms or the Platform — regardless of the form of action — shall not exceed the greater of: (i) the total fees paid by you toAMANA in the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) USD 100 (one hundred United States Dollars).

"As is" disclaimer

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. AMANA does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

Note: Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the exclusions and limitations above apply only to the fullest extent permitted by applicable law. Consumers in the European Union benefit from mandatory statutory protections that these Terms do not override.

18. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Denhill International LLC, its affiliates, officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) arising out of or relating to:

  • Your User Content, including any claim that your User Content infringes third-party rights
  • Your submission of a false, altered, expired, or fraudulent Trade License or identity document
  • Any fraud, misrepresentation, or deceptive conduct on your part
  • Your breach of any provision of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any intellectual property, privacy, or other rights of any third party
  • Services, goods, or activities offered or provided by you to other Users
  • Any dispute arising between you and another User in connection with a Business Relationship
  • Any claim by a third party arising from your use of the Platform

AMANA reserves the right, at its own expense, to assume exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate fully with AMANA's defence of any such claims.

19. Force Majeure

AMANA shall not be liable for any failure, delay, or interruption in the performance of its obligations under these Terms or in the provision of the Platform arising from causes beyond AMANA's reasonable control, including but not limited to:

  • Internet failures, network outages, or telecommunications disruptions
  • Cloud infrastructure or hosting provider outages (including Vercel, Supabase, or AWS)
  • Cyberattacks, distributed denial-of-service (DDoS) attacks, or data breaches by third parties
  • Changes in applicable laws, regulations, or regulatory requirements
  • Government actions, decrees, orders, sanctions, or embargoes
  • Payment processor outages, failures, or policy changes (including Stripe)
  • Natural disasters, floods, earthquakes, fires, or severe weather events
  • War, armed conflict, terrorism, civil unrest, or political instability
  • Pandemics, epidemics, or public health emergencies
  • Power outages or electrical grid failures
  • Any other event beyond AMANA's reasonable control

In the event of a force majeure, AMANA will use reasonable efforts to notify affected Users and resume normal service as soon as reasonably practicable.

20. UAE-Specific Compliance

Users of the Platform acknowledge that AMANA is operated by a company registered in the United Arab Emirates and that the Platform is subject to UAE law. Users agree to use the Platform in full compliance with all applicable UAE laws and regulations, including but not limited to:

  • UAE Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrime — prohibiting cybercrime, online fraud, unauthorised access, and the publication of false information
  • UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) — governing the processing of personal data of individuals in the UAE
  • UAE Federal Law No. 3 of 2022 on the Regulation of Commercial Communication — governing commercial communications and unsolicited messaging
  • UAE Anti-Money Laundering and Counter-Terrorism Financing laws — including Federal Decree-Law No. 20 of 2018 and its amendments
  • UAE Consumer Protection Law — Federal Law No. 15 of 2020 and its implementing regulations
  • UAE Federal Law No. 26 of 2020 on Electronic Transactions and Trust Services
  • UAE defamation, privacy, and intellectual property laws
  • All regulations issued by the UAE Central Bank, Securities and Commodities Authority (SCA), and other UAE regulatory authorities relevant to a User's activities

Users who engage in financial services, investment promotion, fundraising, or regulated activities through the Platform must hold all required licences and regulatory approvals from UAE competent authorities before using the Platform for such purposes.

21. AI and Automated Systems

The Platform may use algorithms, automated systems, machine learning models, artificial intelligence features, ranking logic, recommendation engines, and analytics tools to personalise your experience, surface relevant profiles and opportunities, and improve Platform functionality.

You acknowledge and agree that:

  • AI-generated and algorithmically produced outputs (including recommendations, rankings, suggested connections, and analytics) are provided for informational convenience only
  • AMANA makes no guarantee of the accuracy, completeness, relevance, fairness, or reliability of any AI-generated or automated output
  • Rankings and recommendations do not constitute endorsements, approvals, or certifications of any User or company
  • AMANA does not guarantee specific business outcomes, commercial results, lead quality, or connection quality resulting from algorithmically generated suggestions
  • You should not make significant business, financial, legal, or personal decisions based solely on AI-generated outputs from the Platform without independent verification
  • AMANA may modify, update, retrain, or discontinue any AI or automated system at any time without prior notice

22. Third-Party Services

The Platform integrates or relies on third-party services and providers, including but not limited to:

  • Stripe, Inc. — payment processing
  • Supabase, Inc. — database infrastructure and authentication
  • Vercel, Inc. — hosting and content delivery
  • Resend, Inc. — transactional email delivery
  • Analytics providers for Platform performance monitoring and usage analytics

Your use of the Platform may be subject to the terms of service and privacy policies of these third-party providers. AMANA is not responsible for the availability, performance, accuracy, security, or conduct of any third-party service, except to the extent required by applicable mandatory law.

AMANA shall not be liable for any loss, damage, or harm caused by: (i) outages or failures of third-party services; (ii) errors or inaccuracies in third-party data processing; (iii) security incidents affecting third-party infrastructure; or (iv) changes to third-party policies that affect the Platform's functionality.

The Platform may contain links to third-party websites or resources. AMANA does not endorse and is not responsible for the content, products, services, or practices of any linked third-party websites.

23. Intellectual Property

AMANA ownership

All rights, title, and interest in and to the Platform — including its design, user interface, software code, databases, algorithms, trademarks, logos, brand name, domain names, trade dress, proprietary content, and any compilations of User data — are and remain the exclusive property of Denhill International LLC or its licensors. These rights are protected by UAE intellectual property law, international treaties, and applicable foreign intellectual property laws.

Restricted activities

You may not, without AMANA's prior written permission:
  • Copy, reproduce, duplicate, or mirror the Platform or any part thereof
  • Scrape, harvest, or systematically extract data from the Platform
  • Reverse engineer, decompile, disassemble, or attempt to extract source code
  • Modify, adapt, translate, or create derivative works based on the Platform
  • Resell, sublicense, rent, or commercially exploit the Platform or its data
  • Frame or embed the Platform within another website or application
  • Remove or alter any copyright notices, trademarks, or proprietary markings
  • Use AMANA's trademarks, logos, or brand elements in any manner
  • Use Platform data or User-generated content to train artificial intelligence or machine learning models
  • Build competing databases, enrich external CRM or business intelligence systems at scale using Platform data
  • Create competing products, platforms, or services using AMANA's proprietary materials, data structures, or intellectual property

User licence

Subject to your compliance with these Terms, AMANA grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended professional networking purposes. This licence does not include any resale, commercial exploitation, or derivative use of the Platform or its contents.

Feedback

If you provide AMANA with suggestions, ideas, feedback, or improvements regarding the Platform ("Feedback"), you grant AMANA a perpetual, irrevocable, worldwide, royalty-free licence to use, implement, and exploit such Feedback in any manner without obligation or compensation to you.

24. Data Loss

AMANA is not responsible for any loss, corruption, or unavailability of User Content, messages, leads, analytics data, profile data, connection data, or any other data stored on the Platform, except to the extent directly and exclusively caused by AMANA's proven gross negligence or wilful misconduct, and only to the maximum extent permitted by applicable law.

Users are strongly encouraged to maintain their own independent backups of important professional information, documents, and communications. AMANA does not guarantee the indefinite preservation of any User Content or data.

⚠️ Local legal review required to confirm the enforceability of this data loss limitation under UAE law and the laws of Users' jurisdictions of residence.

25. Availability

AMANA does not guarantee uninterrupted, continuous, error-free, or permanent availability of the Platform. The Platform is provided on an "as available" basis.

AMANA may suspend, restrict, or interrupt access to the Platform, or any part thereof, at any time and for any period, for reasons including but not limited to:

  • Scheduled or emergency maintenance and technical upgrades
  • Security incidents, cyberattacks, or vulnerability remediation
  • Legal or regulatory compliance requirements
  • Infrastructure or third-party service provider issues
  • Operational, technical, or business reasons at AMANA's discretion

AMANA will use reasonable efforts to provide advance notice of planned maintenance where practicable. AMANA shall not be liable for any loss or damage arising from Platform unavailability, interruption, or suspension, except to the extent required by applicable mandatory law.

26. Governing Law and Jurisdiction

Governing law (provisional)

These Terms are governed by and shall be construed in accordance with the laws of the United Arab Emirates. Pending confirmation through local legal review, the specific courts or dispute resolution forum competent to hear disputes arising under these Terms shall be determined by AMANA following such review and communicated to Users in an updated version of these Terms.

Informal dispute resolution

Before initiating any formal legal proceedings, you agree to contact AMANA at contact@amana-uae.com to attempt to resolve the dispute informally. AMANA will make good-faith efforts to resolve any dispute within 30 calendar days of receiving your written notice.

EU consumers

Users in the European Union also benefit from the mandatory consumer protection provisions of their country of residence, which these Terms do not override. EU consumers may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

Language

These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.

27. Changes to Terms

AMANA reserves the right to modify, update, or replace these Terms at any time. For material changes — changes that significantly affect your rights or obligations — AMANAwill provide at least 30 days' prior written notice by:

  • Sending a notification email to the email address associated with your account
  • Displaying a prominent notice on the Platform

Non-material changes (such as grammatical corrections, clarifications, or reorganisation of existing provisions) may be made without prior notice and take effect immediately upon publication.

Your continued access to or use of the Platform after the effective date of any updated Terms constitutes your acceptance of those updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may delete your account before the effective date.

The version of the Terms applicable to your use of the Platform is always the version in effect at the time of your use. We recommend reviewing these Terms periodically.
